TERMS & CONDITIONS

Last updated: October 2026

These Terms & Conditions apply to services provided by Milan Markus trading as Full House Consultancy (“Full House,” “we,” “us” or “our”).

By purchasing, commissioning or otherwise agreeing to receive services from Full House, the client agrees to these Terms & Conditions together with any proposal, scope of work or other written agreement relating to the engagement.

1. BUSINESS-TO-BUSINESS SERVICES ONLY

Full House provides services exclusively to businesses and individuals acting in a professional or business capacity.

Our services are not offered for personal, family or household use and are not intended to be purchased by consumers.

2. SERVICES

Full House provides hospitality consultancy and related professional services, which may include:

F&B Performance Reviews

Menu & Revenue Optimization

Ongoing F&B Revenue Management

Manager Mentoring

Other agreed hospitality, operational or commercial advisory work

The exact scope, deliverables, timing and fees for an engagement may be set out on the website, in a proposal, email, invoice, scope of work or other written agreement.

Where specific written terms have been agreed for an engagement, those terms take precedence over these general Terms & Conditions to the extent of any conflict.

3. FEES AND PAYMENT

Unless otherwise agreed in writing, Full House services are paid upfront.

Work is not considered confirmed and Full House is not required to begin an engagement until the required payment has been received.

For fixed-price projects, the full agreed fee is payable before work begins.

For ongoing monthly services, fees are payable in advance for each calendar month and are due no later than the first business day of that month unless otherwise agreed.

Full House may pause or postpone work where payment has not been received when due.

Any taxes, duties, bank charges or similar charges that are legally payable by the client are the client’s responsibility unless expressly included in the agreed price.

4. FIXED-PROJECT CANCELLATIONS AND REFUNDS

Clients may request cancellation before work begins.

Where Full House agrees to a cancellation before work has commenced, we may refund amounts paid, less any non-recoverable transaction costs, third-party costs or other costs already incurred in connection with the engagement.

Once work has commenced, fees are non-refundable to the extent that work has already been performed, time has been reserved, resources have been committed or costs have been incurred.

Where Full House is unable to complete an agreed engagement for reasons within our reasonable control, any appropriate refund will be based on the portion of the agreed work that has not been completed.

We will always aim to handle genuine cancellation situations reasonably and fairly.

5. ONGOING MONTHLY SERVICES

Unless a different arrangement is agreed in writing, ongoing monthly services operate on a calendar-month basis.

Either party may terminate an ongoing engagement by providing 30 days’ written notice.

Fees already due or paid for a service period that has commenced remain payable and are not refundable solely because notice of termination has been given.

No minimum contractual period applies unless one has been expressly agreed as part of the engagement.

6. CLIENT RESPONSIBILITIES

The quality of our work depends in part on the quality and completeness of the information supplied by the client.

The client agrees to provide information reasonably required to perform the engagement and to ensure, to the best of its knowledge, that information supplied is accurate and complete.

Full House is entitled to rely on information provided by the client without independently auditing or verifying it unless verification is specifically included within the agreed scope.

Delays in receiving required information, decisions, access or feedback may affect agreed timelines.

7. COMMERCIAL AND FINANCIAL INFORMATION

Our analysis and recommendations may rely on sales data, revenue figures, costs, margins, inventory information, menu data, operational reports and other information supplied by the client.

Full House does not provide statutory audit, accounting, tax, investment or legal services unless expressly agreed and appropriately qualified to do so.

Commercial analysis performed by Full House should therefore not be treated as a substitute for professional accounting, tax, legal or other regulated advice where such advice is required.

8. RECOMMENDATIONS AND BUSINESS DECISIONS

Full House provides analysis, recommendations and professional judgment based on the information available at the time of the engagement.

The client remains responsible for its own management and business decisions, including whether and how recommendations are implemented.

Hospitality performance is affected by many factors outside Full House’s control, including market conditions, customer demand, management execution, staffing, competition, economic conditions and changes within the client’s business.

Accordingly, Full House does not guarantee any specific increase in revenue, profit, margin, sales, average spend, demand or other financial or operational result.

9. CONFIDENTIALITY

Full House understands that clients may provide commercially sensitive information.

We will treat non-public client information received in connection with an engagement as confidential and will not disclose it to third parties except:

where reasonably necessary to provide the agreed services;

where the client has authorized disclosure;

where information is already lawfully public;

where disclosure is required by law or a competent authority; or

where disclosure is reasonably necessary to professional advisers or service providers who are themselves subject to appropriate confidentiality obligations.

The client likewise agrees not to disclose confidential Full House materials, methodologies or proprietary information except as reasonably necessary for its internal business purposes.

These confidentiality obligations continue after an engagement ends.

10. INTELLECTUAL PROPERTY

Unless otherwise agreed in writing, Full House retains ownership of its pre-existing and underlying methodologies, frameworks, templates, models, processes, know-how and other intellectual property used in providing the services.

Once all applicable fees have been paid, the client may use reports, analyses, recommendations and other deliverables specifically created for that client for its own internal business purposes.

The client may share those deliverables internally with relevant employees, managers, owners and professional advisers.

The client may not sell, license, reproduce commercially, publish or distribute Full House’s proprietary materials to third parties without prior written permission.

The client retains ownership of its own data, documents, branding and other materials supplied to Full House.

11. CLIENT DATA

Information supplied by the client remains the client’s information.

Full House will use client data only as reasonably necessary to perform the engagement, administer the client relationship, maintain appropriate records and meet applicable legal obligations.

We apply appropriate measures designed to protect client information against unauthorized access, disclosure, alteration or loss.

Further information about personal data is provided in our Privacy Policy.

12. THIRD-PARTY SERVICES

Full House may use reputable third-party technology and service providers in operating the business and delivering services, including tools for communication, scheduling, payment processing, website operation and document management.

Full House is not responsible for outages, failures or other events caused solely by third-party services outside our reasonable control.

13. TIMELINES

Any delivery dates or timelines are estimates unless expressly agreed in writing as fixed deadlines.

Full House will make reasonable efforts to meet agreed timelines.

We are not responsible for delays caused by late client information, delayed decisions, third-party services, events outside our reasonable control or changes to the agreed scope.

14. CHANGES TO SCOPE

If the client requests work outside the originally agreed scope, Full House may propose an additional fee, revised timeline or separate engagement.

Additional work is not included merely because it relates to the same operation, project or commercial issue.

Any material change to scope should be agreed before the additional work is undertaken.

15. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Full House will not be liable for indirect, incidental, special or consequential losses, including loss of anticipated profit, revenue, business opportunity, goodwill or savings arising from the use or implementation of our services or recommendations.

Where Full House is found liable in connection with an engagement, our total aggregate liability relating to that engagement will, to the maximum extent permitted by law, not exceed the fees actually paid to Full House for the specific engagement giving rise to the claim.

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

16. EVENTS OUTSIDE OUR CONTROL

Neither Full House nor the client will be responsible for a failure or delay caused by circumstances reasonably outside that party’s control.

Where such circumstances materially affect an engagement, both parties should communicate promptly and make reasonable efforts to agree an appropriate way forward.

17. TERMINATION

Full House may suspend or terminate an engagement where:

payment is materially overdue;

the client repeatedly fails to provide information or cooperation necessary to perform the work;

the client materially breaches these Terms or an agreed scope;

continuing the engagement would reasonably create legal, ethical, security or reputational concerns; or

the working relationship has otherwise become impracticable.

Where appropriate, Full House will make reasonable efforts to resolve the issue before terminating the engagement.

Termination does not affect fees already earned, amounts already due, confidentiality obligations, intellectual-property provisions or other terms that are intended to continue after termination.

18. INDEPENDENT CONSULTANCY RELATIONSHIP

Full House acts as an independent consultant.

Nothing in an engagement creates an employment relationship, partnership, joint venture, agency or fiduciary relationship between Full House and the client.

Full House has no authority to enter into commitments on behalf of a client unless expressly authorized in writing.

19. DISPUTES

If a disagreement arises, both parties agree to first make reasonable efforts to resolve the matter directly and in good faith.

Because Full House Consultancy is currently a trading name used personally by Milan Markus and is not yet established as a registered business entity in a specific jurisdiction, these Terms do not presently designate an exclusive governing law or court.

Where applicable law requires a particular jurisdiction or legal framework to apply, those requirements will apply.

This section should be updated if Full House becomes established or registered in a specific jurisdiction.

20. CHANGES TO THESE TERMS

Full House may update these Terms from time to time.

Changes apply to future engagements from the date the updated Terms are published. Material changes will not retrospectively alter an existing agreed engagement unless both parties agree otherwise.
